These terms govern your use of the Apnemy Technologies website and any consulting, development or managed services we provide. By engaging us or using this site, you accept them.
1. Services
We provide development, consulting, architecture and process optimization services across ServiceNow, Salesforce and Microsoft Azure. The specific scope, deliverables, timeline and fees for any engagement are set out in a signed statement of work, which takes precedence over these terms where the two differ.
2. Client responsibilities
Delivery depends on timely access to your systems, environments, test data and named decision-makers. Where a dependency on your side delays work, timelines shift accordingly and any resulting standby time may be chargeable at the agreed rate.
3. Fees and payment
Invoices are payable within 30 days of issue unless the statement of work says otherwise. Fees are exclusive of GST and any third-party platform licences, which remain your responsibility. We may suspend work on accounts more than 45 days overdue after written notice.
4. Intellectual property
On full payment, custom deliverables created specifically for you transfer to you. We retain ownership of our pre-existing tools, frameworks, methods and general know-how, and remain free to reuse skills and non-confidential techniques on other engagements.
5. Confidentiality
Each party will protect the other's confidential information, use it only for the engagement, and restrict access to personnel who need it. These obligations survive the end of the engagement.
6. Warranties and liability
We warrant that services will be performed with reasonable skill and care by suitably qualified personnel. Defects reported within 30 days of a deliverable's acceptance will be corrected at no charge. Neither party is liable for indirect or consequential loss, and our aggregate liability is limited to the fees paid for the engagement giving rise to the claim.
7. Termination
Either party may terminate an engagement on 30 days' written notice, or immediately for material breach that is not remedied within 15 days of notice. On termination you pay for work performed and approved expenses up to the termination date.
8. Governing law
These terms are governed by the laws of India, and the courts at Hyderabad, Telangana have exclusive jurisdiction. The parties will attempt good-faith resolution before commencing proceedings.
