Corporate Governance

Apnemy Technologies Private Limited · Hyderabad, India · Last updated 19 August 2026

Apnemy Technologies Private Limited is incorporated in India and governed by its board under the Companies Act, 2013. This page sets out how we are run and how to raise a concern.

1. Board and oversight

The board sets strategy, approves the annual budget, and oversees risk, compliance and delivery quality. It meets at least quarterly and keeps minutes of every meeting. Directors declare interests annually and recuse themselves from decisions where a conflict exists.

2. Code of conduct

Everyone at Apnemy — employees, contractors and directors — is bound by a code of conduct covering honest dealing, client confidentiality, fair competition and respect at work. Every joiner acknowledges it, and it is reaffirmed annually.

3. Anti-bribery and conflicts of interest

We do not offer or accept bribes, kickbacks or facilitation payments in any form. Gifts and hospitality above a nominal threshold must be declared and approved. Any personal interest in a supplier, client or competitor must be disclosed in writing.

4. Information security

Access to client environments is least-privilege, individually named and revoked at engagement close. Staff complete security training on joining and annually. Security incidents affecting a client are notified to that client without undue delay.

5. Delivery quality and risk

Every engagement has a named delivery lead accountable for scope, quality and escalation. Architecture decisions are peer-reviewed, and engagement risks are logged and reviewed with the client on a regular cadence.

6. Raising a concern

Employees, clients and suppliers may report suspected misconduct in confidence to ap@apnemy.com, marked for the attention of the board. Reports may be made anonymously, are investigated promptly, and retaliation against anyone who reports in good faith is a disciplinary matter.

7. Statutory compliance

We maintain statutory registers, file annual returns and financial statements with the Registrar of Companies, and meet GST, TDS and provident fund obligations on schedule. Accounts are audited annually by an independent auditor.
